By accessing SongUp AI (www.songupai.com) and utilizing our ecosystem of 28+ audio and visual generative models, you are entering into a binding legal agreement.

As an industrial-grade production platform connecting real-time DSP utilities with cutting-edge neural synthesis, we require strict adherence to these terms to maintain structural stability, licensing integrity, and legal compliance across global jurisdictions.

SongUp AI is committed to the ethical use of artificial intelligence in music and audio production. The following activities are strictly prohibited and will result in immediate account termination:

SongUp AI reserves the right to remove any content and permanently suspend any account found to be in violation of these policies. We actively cooperate with law enforcement and rights holders in cases of infringement.

RIAA & Copyright Compliance: SongUp AI utilizes metadata filtering to prevent the generation of content that explicitly references trademarked artist names or protected song titles in prompts. Our systems are designed to respect the intellectual property rights upheld by the RIAA, IFPI, and equivalent global copyright enforcement bodies.

The rights associated with the audio and visual outputs generated through our platform (e.g., Sonic Flow, Elite Master, 4K Imaginations) are solely dependent on your active subscription tier at the time of generation.

Tools manipulating existing audio (e.g., Stem Separator, Audio to MIDI, Live DJ Console) process your uploaded intellectual property. You retain exhaustive ownership of the inputs; however, SongUp AI is not responsible for copyright infringements resulting from your uploading of protected third-party content.

SongUp AI provides powerful biometric vocal processing tools, including Voice Swap, and Live Voice Changer. Access to these utilities represents a significant trust compact.

• Non-consensual Cloning is Prohibited: You may not upload reference audio of any individual without their explicit, documented legal consent to generate a synthesized voice model.
• Defamation & Political Warfare: Utilizing speech generation to create fraudulent statements, harass individuals, or disrupt democratic processes is strictly banned and will result in immediate API revocation and cooperation with law enforcement.
• Copyrighted Vocals: Uploading stems of famous artists for arbitrary Voice Swapping/Timbre Transfer without clearing sample rights exposes you entirely to DMCA and legal liability.

Compute interactions within the generative ecosystem deplete your unified credit ledger.

• Replenishment: Subscription credits reset proportionally upon the renewal timestamp of your billing cycle. Unused monthly baseline credits do not roll over. A-la-carte top-ups never expire.
• Generation Guarantee: Once a generation request is submitted to the cluster, credits are deducted. If a GPU failure results in a completely blank or corrupted file, the system will attempt automatic reconciliation. Aesthetic dissatisfaction does not warrant credit refunds. Users acknowledge that AI generation is probabilistic; “subjective quality” does not constitute a technical failure of the service.
• Subscriptions: Billed via Lemon Squeezy (our Merchant of Record). Lemon Squeezy handles all payment processing, invoicing, and sales tax/VAT compliance on our behalf. Cancellations cease future charges immediately but preserve your tier access until the end of the current cycle.

As an AI-driven platform operating at the edge of machine learning capability, all services are provided "AS-IS". SongUp AI explicitly disclaims warranties of merchantability or fitness for a specific commercial broadcast purpose. In no event shall our aggregate liability to you exceed the amounts you have paid to SongUp AI in the twelve (12) months preceding the claim.

This clause supplements Section 2 (Prohibited Uses) and Section 4 (Speech & Voice Deepfake Policy). Violations may be reported to relevant law enforcement and intellectual property authorities.
